Due diligence: what to understand before investing

A well-directed review helps identify risks, test assumptions and understand the obligations attached to a transaction.

LIMITLESS — Advisory Team

Before making an investment or completing a corporate transaction, it is essential to understand the legal, financial, operational and regulatory position of the business under review.

Due diligence helps organise information, validate assumptions and identify matters that may require clarification, warranties or adjustments during negotiations.

The scope should be proportionate to the transaction. Corporate structure, material contracts, disputes, assets, regulatory obligations and third-party relationships may all be relevant depending on the context.

Findings should be translated into useful conclusions. A list of documents reviewed is less valuable than a clear assessment of risks, potential impact and available options.

Due diligence cannot eliminate all uncertainty, but it can improve decision quality and support more informed negotiations.
